Terms of Use — Vaultolio Account Portal
These Terms of Use ("Terms") govern your access to and use of the Vaultolio secure account portal ("the Portal"). By creating an account or using the Portal you agree to these Terms. If you do not agree, do not use the Portal.
1. Who operates this Portal
The Portal is owned and operated by Dominic Dominguez, a Florida-licensed business broker. As required by Florida Real Estate Commission Rule 61J2, the broker license is registered with Hedgestone Business Advisors, a trade name of (collectively, "Hedgestone"). Hedgestone neither owns nor operates the Portal; this disclosure appears solely for brokerage-licensure compliance. Vaultolio is a brand name for the website and portal only and is not itself a legal entity or licensed brokerage. Florida Broker License No. BK3529743.

2. What this Portal is
The Portal is a secure, authenticated workspace that lets buyers, sellers, and professional partners exchange confidential information and documents related to the potential purchase or sale of a privately-held business. Using the Portal is part of an ongoing conversation; it does not by itself create a brokerage relationship.
3. No brokerage or fiduciary relationship from the Portal alone
Creating an account, uploading documents, or communicating through the Portal does not by itself create a brokerage, listing, fiduciary, attorney-client, or advisory relationship. A brokerage relationship is only formed by a separate written engagement signed by both parties.
4. No investment, legal, tax, or financial advice
Nothing in the Portal or in any communication through it is investment, legal, tax, or financial advice. Before buying or selling a business you should consult your own attorney, accountant, and financial advisor. Valuation ranges, multiples, and any market data shown are illustrative and do not predict the value of any specific transaction.
5. Eligibility and your account
The Portal is for adults (18+) involved in the purchase or sale of a privately-held business. You are responsible for the security of your account: keep your password and authentication factors confidential, enroll the multi-factor options offered, and notify us promptly at [email protected] if you suspect unauthorized access. You represent that the information you provide is true and your own.
6. Acceptable use
You agree not to:
- Submit false, misleading, or impersonated information.
- Upload any document or content you do not have the right to share, or that infringes a third party's intellectual-property or confidentiality rights.
- Use the Portal for any unlawful purpose, including fraud, money laundering, or sanctions evasion.
- Access another account, or attempt to access documents that are not yours.
- Scrape, crawl, or automatically collect data from the Portal without our written permission.
- Probe, scan, or test the vulnerability of the Portal or its infrastructure without authorization, or bypass rate limits, abuse-prevention systems, or the authentication flow.
- Upload malware, or use the Portal to harass others or distribute spam.
- Reverse-engineer, decompile, or attempt to derive the source of any non-public component of the Portal.
7. Communications you agree to receive
By creating an account you agree to receive account and transaction communications by email and, if you enrolled a phone number, by SMS. Standard message and data rates may apply. You can opt out of marketing emails using the one-click unsubscribe link in any marketing email, or reply STOP to any text to opt out of SMS. Opting out of marketing does not stop transactional communications about your account or an active transaction.
8. Florida brokerage disclosure
The operator is a real estate / business broker licensed in the State of Florida and is subject to Florida law and Florida Department of Business and Professional Regulation rules, including Florida Administrative Code Rule 61J2 where applicable. Any brokerage relationship, agency role (single agent, transaction broker, no brokerage relationship), and compensation will be disclosed in writing in a separate engagement before any brokerage services are rendered.
9. Confidentiality of business information
Information about specific listings, sellers, or buyers shared with you through the Portal is provided in confidence. You agree not to disclose, copy, or use such information for any purpose other than evaluating a potential transaction with us, and to return or destroy such information on request. A separate written confidentiality agreement may be required before any non-public listing information is shared.
10. Your content and our intellectual property
You retain ownership of the documents and content you upload. You grant us a limited license to store, process, and transmit that content solely to operate the Portal and provide the services you have asked for. The Portal itself — its layout, copy, graphics, the "Vaultolio" name and logo, and the underlying software — is owned by the operator or its licensors. You may not copy, reproduce, redistribute, or create derivative works of any part of the Portal without prior written permission.

To report content that infringes your copyright, contact us at [email protected]. We will respond to properly submitted takedown notices consistent with applicable law.
11. Third-party services
The Portal relies on third-party services (for example, Cloudflare for delivery and Twilio for SMS verification — see the Privacy Policy). We are not responsible for the content, terms, or privacy practices of third parties. Your use of any third-party service is governed by that third party's terms.
12. Disclaimers
The Portal is provided "AS IS" and "AS AVAILABLE" without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted operation. We do not warrant that the Portal will be available at any given time or free from errors, defects, or security incidents.
13. Limitation of liability
To the maximum extent permitted by law, Dominic Dominguez and Hedgestone shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, business opportunity, or goodwill, arising from or related to your use of the Portal, even if advised of the possibility of such damages. Our aggregate liability for any claim arising from your use of the Portal shall not exceed one hundred US dollars (US$100), or, where the law does not permit such a cap, the smallest cap that the law does permit. Nothing in this section limits liability that cannot be limited under applicable law.
14. Indemnification
You agree to defend, indemnify, and hold harmless Dominic Dominguez, Hedgestone, and their respective affiliates and personnel from any claim, loss, or expense (including reasonable attorneys' fees) arising out of (a) your violation of these Terms, (b) your misuse of the Portal, (c) content you upload, or (d) your violation of any law or third-party right.
15. Termination
We may suspend or terminate your access at any time, with or without notice, including if we believe you have violated these Terms or engaged in abuse. You may close your account at any time. Sections that by their nature should survive termination (including disclaimers, limitation of liability, indemnification, governing law) will survive.
16. Governing law and venue
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles. The exclusive venue for any dispute arising from these Terms or your use of the Portal shall be the state or federal courts of competent jurisdiction located in the State of Florida, and you consent to personal jurisdiction in those courts. Nothing in this section prevents either party from seeking injunctive relief to protect intellectual property or confidential information.
17. Changes to these Terms
We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above. Continued use of the Portal after a material change constitutes acceptance of the updated Terms.
